Terms of Service

1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you and Sortino ("SortinoLab", "we", "us", or "our") and govern your access to and use of the Sortino website, applications, and related services (collectively, the "Service").
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Service.
2. Eligibility
You may use the Service only if you are able to form a legally binding contract with us and are at least the age of majority in your province, territory, or country of residence. By using the Service, you represent and warrant that you meet these requirements.
3. The Service
Sortino provides tools for exploring publicly available financial information, including securities filings sourced from the U.S. Securities and Exchange Commission (SEC) EDGAR system, along with related market data and portfolio analytics features.
We may add, change, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Service.
4. Accounts and account security
Access to certain features requires an account. We use passwordless, email-based authentication: instead of a password, we send a one-time code to your email address to verify your identity. You are responsible for maintaining access to, and the security of, the email account you use to sign in.
You are responsible for all activity that occurs under your account. You agree to notify us promptly at the contact address below if you suspect any unauthorized access to or use of your account. We may suspend or terminate accounts that we reasonably believe are being misused or that pose a security risk.
5. Not financial, investment, legal, or tax advice
Information made available through the Service, including securities filings, market data, analytics, and other content, is provided for general informational purposes only. It is not, and should not be relied upon as, financial, investment, legal, accounting, or tax advice, and it is not a recommendation, offer, or solicitation to buy or sell any security or to pursue any investment strategy.
We do not guarantee the accuracy, completeness, timeliness, or usefulness of any data or analytics, including information derived from third-party sources. You are solely responsible for evaluating the merits and risks of any decision you make based on the Service, and you should consult your own qualified advisors before making any financial decision.
6. Acceptable use
You agree not to misuse the Service. In particular, you agree not to: (a) use the Service in violation of any applicable law or regulation; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems or networks; (c) interfere with or disrupt the integrity or performance of the Service; (d) scrape, harvest, or collect data from the Service using automated means except as expressly permitted; (e) reverse engineer or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by applicable law; or (f) use the Service to infringe the rights of others or to transmit unlawful, harmful, or malicious content.
7. Intellectual property
The Service, including its software, design, text, graphics, and other content (excluding third-party data and your own content), is owned by Sortino or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes.
Publicly available filings and similar data accessed through the Service may be subject to the terms of their originating sources. We grant no rights in third-party data beyond those that the originating source provides.
8. Third-party services and data sources
The Service relies on and links to third-party services and data sources, including SEC EDGAR and market data providers, as well as service providers that help us operate the Service. We do not control these third parties and are not responsible for their content, availability, accuracy, or practices. Your use of third-party services may be governed by separate terms.
9. Disclaimer of warranties
To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any data will be accurate or reliable.
Nothing in these Terms limits or excludes any warranty, condition, or right that cannot be limited or excluded under applicable law, including applicable consumer protection legislation.
10. Limitation of liability
To the fullest extent permitted by applicable law, SortinoLab and its founders, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service.
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us, if any, to use the Service in the twelve months before the event giving rise to the liability, or one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Sortino and its founders, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the Service, other users, or our rights. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
14. Governing law and jurisdiction
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict-of-laws principles. Subject to applicable law, you agree to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any such dispute. Nothing in this section deprives you of the protection of mandatory consumer-protection laws of your place of residence.
